11. Applicable Law and Dispute Resolution
The laws of the State of Ohio govern these Terms of Use, without giving effect to any principles of conflicts of law. You hereby agree that any dispute concerning these Terms & Conditions or other uses of this Site shall be submitted to and determined in binding arbitration under the Rules for Commercial Arbitration of the American Arbitration Association. The arbitration shall take place in Cuyahoga County, Ohio (or the county in Ohio where our principal place of business is located). The arbitration shall be governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq.
A single neutral arbitrator shall conduct the arbitration. The decision rendered by the arbitrator shall be final and binding upon the parties and may be entered as a judgment in, and enforced by, any court of competent jurisdiction. In any action to enforce these Terms of Use, the prevailing party will be entitled to reasonable costs and attorney’s fees. In the event that any of the Terms of Use are held by a court or other tribunal of competent jurisdiction to be unenforceable, those provisions shall be limited or eliminated to the minimum extent necessary so that these Terms of Use shall otherwise remain in full force and effect. These Terms of Use are not governed by the United Nations Convention of Contracts for the International Sale of Goods, the application of which is expressly excluded.
